Alibaba Cloud (India) LLP is being investigated by the Ministry of Corporate Affairs<\/a> (MCA<\/a>) and the Mumbai Police. The probes are still ongoing.
The city police launched their probe based on a complaint filed against the firm, its partners and some others by the Registrar of Companies (RoC) in Mumbai, alleging criminal conspiracy, breach of trust and falsification of documents under the Indian Penal Code and the Information Technology Act. The RoC is a part of the MCA.
The investigations revealed that after the incorporation of Alibaba Cloud in March 2017, its Indian-origin partner resigned and the company was transferred to Chinese nationals. It has also found that certain information shared by the company's representative with the RoC in July 2021 was \"untrue\", they said.
The company's registered office in Mumbai was not found to be existing at the address given in its filing with the RoC, one of the people told ET, calling it a violation of the Companies Act.
An email sent to Alibaba seeking comment didn't elicit any response till press time Monday.
Alibaba Cloud was among more than 700 companies with Chinese nationals on board that the MCA had investigated based on intelligence inputs from the union home ministry. \"There is a suspicion that the firms are being used as a vehicle for money laundering. The probe is undertaken to find the source and the ultimate beneficiary of the money and if there is any political or economic connection,\" one of the officials said.
The MCA launched a two-stage action against such firms. The first involved examination of the documents filed by the directors and companies to look for fraudulent activities. In the second stage, the RoC was required to file FIRs at local police stations against companies where it found or suspected irregularities.
In the case of Alibaba Cloud, MCA's probe found that a chartered accountant had helped incorporate the local entity on March 25, 2017 with three partners: Pooja Cherian (98% shares), Tip Pak Tung Janson (1% shares) and Timothy Alexander Steinert (1% shares). The Indian-origin partner later moved out.
The chartered accountant, Anand Kidambi, last month moved the Supreme Court seeking to quash an FIR against him.
The MCA claimed that the CA had helped incorporate the company by filing fabricated documents and registering it when the company was actually not in existence. The company was later transferred to the Chinese partners by cheating the RoC, it claimed.
The SC is likely to hear the matter next in the second week of July. It has sought the response of the MCA and police on Kidamabi's petition.
Kidamabi wasn't immediately available for comment. An email sent to his counsel didn't elicit a response.
The outcome of the case is expected to have a bearing on the other similar cases involving Chinese companies, said a senior government official.
Apart from MCA, the Enforcement Directorate<\/a> and the Department of Income Tax<\/a> are also probing these firms on allegations of money laundering and suspected tax evasion<\/a>.
