NEW DELHI: Bharti Airtel has bought British telecom major Vodafone Group Plc’s 4.7% stake in Indus Towers for Rs 2,388 crore.

“The company, alongwith its wholly-owned subsidiary,
Nettle Infrastructure Investments Limited, has acquired 127,105,179 equity shares (~ 4.7%) of Indus Towers Limited at Rs 187.88 per share from Euro Pacific Securities Ltd., an affiliate of Vodafone Group Plc,” Airtel said in a regulatory filing Tuesday.

Airtel shares were trading 2.16% higher at Rs 749.20 on the Bombay Stock Exchange (BSE) while
Vodafone Idea was trading 0.90% higher at Rs 10.08 in the morning.

The stake purchase has boosted Airtel’s holding in Indus to 46.43%, while Vodafone’s stake has dropped to 21%. Vodafone has previously said it was talking to several interested parties to sell its remaining stake as well.

On February 25, Airtel said it had agreed to buy a 4.7% stake in Indus Towers from Vodafone in cash. Under the deal, the UK company must invest the proceeds in Vodafone Idea, which in turn should use the money to clear its payment arrears to the telecom tower company. On that day, Indus shares closed 4.11% higher at Rs 214.20.

A few days before the February 25 announcement, Vodafone sold 2.4% in Indus via a block deal to undisclosed investors for Rs1,443 crore, or Rs 226.84 a share.

The British telco’s successive stake sales in Indus are part of the efforts to infuse capital into loss-making VI, which has been struggling to compete in the market against
Reliance Jio and Airtel.

The UK company and India’s Aditya Birla Group – the two promoters of VI - plan to invest Rs 4,500 crore via a preferential allotment at Rs 13.30 a share. Of this, the Vodafone Group will invest Rs 3,375 crore, to be paid from the funds raised by the partial sale of its stake in Indus Towers.

An additional Rs10,000 crore will be raised either through equity or debt or a mix, Vodafone Idea has said.
